Terms of Use
The terms governing your access to and use of the Investor Services website and online services.
1. Agreement to these terms
These Terms of Use (“Terms”) form a binding agreement between you and Investor Services (“Investor Services,” “we,” “us,” or “our”) governing your access to and use of the Investor Services website, portals, calculators, forms, and related online services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy and Disclosures, which are incorporated by reference. If you do not agree, do not use the Services.
2. Who may use the Services
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an entity, plan, or trust, you represent that you are authorized to bind that person to these Terms, and “you” includes that person.
3. Relationship to account agreements
Opening or maintaining a custody account is governed by separate agreements, including the Custodial Account Agreement, Fee & Compensation Disclosure, and applicable account applications and disclosures (together, the “Account Agreements”). To the extent these Terms conflict with an executed Account Agreement as to an account, the Account Agreement controls for that account.
4. No advice; no offer or solicitation
The Services provide general educational and administrative information only. Nothing on the Services is, or should be relied upon as, investment, legal, tax, accounting, or fiduciary advice, and nothing on the Services is an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment, account, or service. Investor Services and Institutional Trust Company do not investigate, evaluate, select, recommend, approve, sponsor, or endorse any investment, sponsor, issuer, adviser, dealer, platform, or service provider. 5. Account registration and security
If you create login credentials, you are responsible for maintaining their confidentiality and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use at security@investorservices.com. We may suspend or terminate access to protect the Services or as required by law.
6. Acceptable use
You agree not to: (a) use the Services unlawfully or in violation of these Terms; (b) attempt to gain unauthorized access to any system or data; (c) probe, scan, or test the vulnerability of the Services except as expressly permitted by our Security Policy; (d) interfere with or disrupt the Services; (e) scrape, harvest, or use automated means to extract data except as permitted; (f) upload malicious code; or (g) misrepresent your identity or affiliation.
7. Electronic communications and signatures
By using the Services and submitting forms, you consent to receive communications electronically and to the use of electronic records and signatures as described in our E-Sign & Electronic Communications Consent.
8. Submissions
Information you submit through forms is handled under our Privacy Policy. You represent that information you provide is accurate and that you are authorized to provide it. Do not submit sensitive personal information except where specifically requested.
9. Intellectual property
The Services, including all text, graphics, logos, the aperture mark, software, and design, are owned by or licensed to us and are protected by intellectual-property laws. “Investor Services”™ and related intellectual property remain solely with Todd Yancey. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. All other rights are reserved.
10. Third-party links and content
The Services may link to third-party sites and content (for example, B5 Secure and FISCP). We do not control and are not responsible for third-party sites, and a link is not an endorsement. Your use of third-party sites is governed by their terms.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Calculators and tools are illustrative and not guarantees of any result. We do not warrant that information on the Services is complete or current.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INVESTOR SERVICES OR ITS AFFILIATES, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations; these apply to the fullest extent permitted.
13. Indemnification
You agree to indemnify and hold harmless Investor Services and its affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services or breach of these Terms.
14. Dispute resolution; arbitration; class waiver
Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its applicable rules, seated in Santa Clara County, California, before a single arbitrator, and judgment may be entered on the award. You and Investor Services waive any right to a jury trial and to participate in a class or representative action. Either party may bring an individual action in small-claims court. You may opt out of this arbitration provision by written notice to legal@investorservices.com within 30 days of first accepting these Terms.
15. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to the arbitration provision, the parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, for any dispute arising out of or relating to these Terms, and waive any objection to such forum. Custody relationships are governed by the applicable Account Agreements and the laws of the State of South Dakota as stated in those agreements.
16. Changes; termination; miscellaneous
We may modify these Terms by posting an updated version with a new effective date; material changes will be reasonably notified. Continued use constitutes acceptance. We may suspend or discontinue the Services. If any provision is unenforceable, the remainder stays in effect. These Terms, with the incorporated policies, are the entire agreement regarding the Services. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
